The questions we get asked most about setting up and running a company in the UAE.
The right choice depends on your activities, customers and international structure. A UAE Mainland company is generally suitable for businesses operating directly within the local UAE market. A Free Zone company may be more attractive for international trade, consultancy, holding activities or companies seeking specific tax benefits. Northman Global assesses your business model before recommending the most suitable jurisdiction.
UAE company formation costs depend on the jurisdiction, business licence, number of shareholders, visa requirements and office facilities. The lowest-priced licence is not always the best long-term option. Banking, taxation, market access and annual renewal costs should all be considered before selecting a company setup.
Yes. Foreign entrepreneurs can generally own 100% of both Free Zone and Mainland companies in the UAE. Some regulated or strategically important activities may be subject to additional requirements. Northman Global can establish the company for an individual shareholder or as part of an international corporate structure.
UAE companies are generally subject to corporate tax, with a 0% rate applying to the first AED 375,000 of taxable income and 9% above that threshold. A qualifying Free Zone company may benefit from a 0% rate on qualifying income, provided it meets all relevant conditions. Incorporating in a Free Zone does not automatically make all income tax-free.
Although the separate UAE Economic Substance reporting requirement was cancelled for financial years ending after 31 December 2022, genuine local substance remains important for corporate tax, Free Zone status, banking and international tax recognition. Depending on the business, this may include UAE-based management, qualified employees, suitable premises, local expenditure and documented decision-making.
Transfer pricing applies when a UAE company conducts transactions with related companies, shareholders or other connected persons. Prices and fees must follow the arm's-length principle, meaning they should be comparable to those agreed between independent parties. Management fees, loans, royalties and international trading margins should therefore be commercially supported and properly documented.
Yes, but a company licence does not guarantee approval. UAE banks assess the business activities, ownership structure, expected transactions, source of funds and connection to the UAE. A clear business plan, appropriate substance and a transparent corporate structure can significantly improve the onboarding process. Northman Global supports clients with documentation and introductions to suitable banking partners.
A UAE company can form part of a tax-efficient international structure, but the result depends on where the business is managed, where its activities are performed and where its shareholders are tax-resident. Entrepreneurs must also consider foreign controlled-company rules, permanent-establishment risks, transfer pricing and applicable tax treaties. Northman Global builds compliant structures together with qualified tax advisers in the relevant jurisdictions.
A favourable tax regime, full foreign ownership in free zones, access to international markets and a stable, business-friendly environment. With the right structure and genuine substance, it can support both growth and tax efficiency.
